Terms of Service

These Terms of Service (“Terms”) are a contract between you and 17145608 Canada Inc. (“breadboardhub”, “we”, “us”, or “our”), which operates breadboardhub.com (the “Service”).

1. Acceptance

By using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You must provide accurate information when creating an account, and you are responsible for all activity under your account. You must be at least 13 years old, or older where your jurisdiction requires it. Keep your credentials secure and notify us of any unauthorized use.

3. Your Content

You retain ownership of content you upload. By uploading content, you grant 17145608 Canada Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content, and to sublicense these rights to our service providers and to other users as needed to operate the Service, including to enable forking. Public designs are made available to others under the license you choose (MIT by default). You are responsible for ensuring you have all rights necessary to upload your content and to license it as you have indicated, and that your content does not infringe the rights of others.

4. AI-Generated Content

The Service can generate circuit designs, firmware, and explanations using AI. AI output may be inaccurate, incomplete, or unsafe, and is provided for educational and prototyping purposes only. You are solely responsible for reviewing, testing, and verifying any AI-generated output before relying on or building it. AI output you generate is treated as your content under Section 3, and you are responsible for it accordingly.

5. Acceptable Use

You agree not to:

  • upload malicious code, malware, or content that violates the rights of others
  • attempt to gain unauthorized access to the Service, other accounts, or related systems
  • use the Service for any unlawful purpose
  • abuse rate limits or use automated tools to scrape content at scale
  • impersonate any person or misrepresent your affiliation
  • upload content that is harmful, abusive, infringing, or otherwise unlawful

6. Copyright and Takedowns

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to legal@breadboardhub.com including: identification of the work, the location of the allegedly infringing content, your contact information, and a statement of good-faith belief that the use is unauthorized. We process notices consistent with Canada's notice-and-notice regime and applicable law, and we may remove content and terminate repeat infringers.

7. Subscriptions and Billing

Paid plans (Pro and Org Pro) are billed monthly in advance through Stripe and renew automatically until cancelled. You can cancel at any time from Settings; your plan stays active until the end of the current billing period, and you will not be charged again after that. Except where required by applicable consumer law, fees are non-refundable and we do not provide refunds for partial billing periods. Nothing in this section limits any non-waivable consumer rights you may have.

8. API Usage

API access is subject to the rate limits of your plan. Excessive or abusive use may result in temporary or permanent suspension of API access.

9. Intellectual Property

The breadboardhub name, logo, and platform code are owned by 17145608 Canada Inc. and are protected by intellectual property laws. These Terms grant you no rights in them. User-uploaded designs remain the property of their creators under their chosen license.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Circuit designs, simulations, and AI output are for educational and prototyping purposes. Always independently verify any design before use in real or production hardware. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, 17145608 Canada Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or hardware damage, arising from your use of the Service, including from any circuit design, firmware, simulation, or AI output. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) CAD $100. Some jurisdictions do not allow these limitations, so some may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless 17145608 Canada Inc. and its officers, directors, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or of any law or third-party right.

13. Termination

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or other users. You may delete your account at any time from Settings. Sections that by their nature should survive termination (including Sections 3, 9, 10, 11, and 12) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of Ontario will have exclusive jurisdiction over any dispute, except that if you are a consumer, you may have the right to bring proceedings in your place of residence under applicable mandatory law.

15. General

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any policies referenced here, are the entire agreement between you and us regarding the Service.

16. Changes

We may update these Terms. Continued use of the Service after changes take effect constitutes acceptance. We will notify registered users of material changes by email.
